1. Introduction

1.1 Agreement Overview

Welcome to the Coralbound Associates Program (the "Program"). This Associates Program Terms and Conditions agreement (this "Agreement") is a legally binding contract between you ("Associate", "you", or "your") and PT Tur Tak Terkalahkan, operating as Coralbound ("Coralbound", "we", "us", or "our").

1.2 Acceptance of Terms

By registering for, accessing, or participating in the Coralbound Associates Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement and all applicable policies referenced herein. If you do not agree to these terms, you may not participate in the Program.

1.3 Language Precedence

Estos Términos y Condiciones están escritos originalmente en inglés. Si bien se pueden proporcionar traducciones a otros idiomas para su conveniencia, la versión en inglés es la única versión legalmente vinculante y prevalecerá en caso de cualquier conflicto, discrepancia o diferencia de interpretación entre la versión en inglés y cualquier versión traducida.

2. Descripción del Programa

2.1 Propósito del Programa

El Programa de Asociados de Coralbound le permite obtener ingresos por comisiones al promocionar los servicios de viaje de Coralbound a través de su sitio web, blog, plataformas de redes sociales u otros canales digitales aprobados (colectivamente, su "Plataforma").

2.2 Servicios Cubiertos

Los asociados pueden promocionar y obtener comisiones sobre los siguientes servicios de Coralbound:

• Experiencias de Buceo en Vivo: Reservas de cruceros de buceo de varios días
• Alojamiento en Hoteles y Resorts: Reservas de alojamiento
• Tours y Actividades: Experiencias reservadas a través de nuestros socios de gestión de destinos
• Reservas de Vuelos: Reservas de vuelos nacionales (donde estén disponibles)
• Paquetes de Viaje Completos: Reservas combinadas de servicios

2.3 Cómo Funciona el Programa

1. Registro: Solicita y es aceptado en el Programa de Asociados de Coralbound
2. Código de Referencia Único: Recibe un código de referencia único de 8 caracteres (por ejemplo, "a1b2c3d4")
3. Promoción: Comparte tu enlace de referencia que contiene tu código (por ejemplo, coralbound.com?ref=a1b2c3d4)
4. Seguimiento: Cuando los usuarios hacen clic en tu enlace de referencia, establecemos una cookie de seguimiento válida por 30 días
5. Conversión: Si el usuario referido crea una cuenta dentro del período de validez de la cookie, la cuenta se vinculará a tu cuenta de afiliado. Cuando el usuario realice una reserva calificada, ganarás una comisión
6. Pago: Recibes pagos de comisiones de acuerdo con los términos de pago en la Sección 7

3. Inscripción y Elegibilidad

3.1 Requisitos de la solicitud

Para solicitar el Programa de Asociados de Coralbound, usted debe:

1. Tener al menos 18 años de edad (o la mayoría de edad en su jurisdicción)
2. Tener la capacidad legal para celebrar contratos vinculantes
3. Poseer u operar una Plataforma con contenido original
4. Proporcionar información de registro precisa y completa
5. Tener un método de pago válido para recibir comisiones
6. Aceptar cumplir con todos los términos de este Acuerdo

3.2 Requisitos de la Plataforma

Su Plataforma debe:

• Contener contenido original y de alta calidad relevante para viajes, buceo, conservación oceánica o temas relacionados
• Ser accesible públicamente a través de la dirección del sitio web o el identificador de redes sociales proporcionado en su solicitud
• Cumplir con todas las leyes y regulaciones aplicables
• Cumplir con nuestros estándares de idoneidad del contenido (Sección 3.3)

3.3 Contenido Prohibido

Su Plataforma no será elegible para el Programa si:

• Promueve o contiene materiales sexualmente explícitos u obscenos
• Promueve o contiene materiales violentos
• Promueve o contiene materiales falsos, engañosos, difamatorios o calumniosos
• Promueve o contiene contenido de odio, acoso, dañino, invasivo de la privacidad, abusivo o discriminatorio (incluso por motivos de raza, color, sexo, religión, nacionalidad, discapacidad, orientación sexual o edad)
• Promueve o realiza actividades ilegales
• Está dirigido a niños menores de 13 años o recopila conscientemente información personal de niños
• Viola derechos de propiedad intelectual, incluyendo marcas comerciales, derechos de autor o patentes
• Incluye "coralbound" o variaciones/errores ortográficos en cualquier nombre de dominio, subdominio o nombre de usuario sin nuestro permiso expreso por escrito

3.4 Revisión de la Solicitud

Kami akan meninjau aplikasi Anda dan memberi tahu Anda tentang penerimaan atau penolakan atas kebijakan kami sendiri. Kami berhak menolak aplikasi apa pun atau menghentikan akun yang diterima karena pelanggaran ketentuan ini atau karena alasan lain apa pun.

3.5 Informasi Akun

Anda harus memastikan bahwa semua informasi di akun Afiliasi Anda, termasuk alamat email, informasi pembayaran, dan detail Platform, setiap saat lengkap, akurat, dan mutakhir. Anda dapat memperbarui informasi Anda dengan masuk ke dasbor Afiliasi Anda.

3.6 Hanya Penduduk Non-Indonesia

Sesuai dengan kebijakan perusahaan, Program Afiliasi Coralbound hanya tersedia untuk Afiliasi internasional. Layanan yang dipromosikan melalui Program tidak tersedia untuk penduduk Indonesia.

4. Tanggung Jawab Afiliasi

4.1 Keamanan Akun

Anda bertanggung jawab untuk:

• Menjaga kerahasiaan kredensial akun Afiliasi Anda
• Semua aktivitas yang terjadi di bawah akun Anda
• Membatasi akses ke akun dan kode rujukan Anda
• Segera memberi tahu kami tentang penggunaan akun Anda yang tidak sah

4.2 Kepatuhan terhadap Hukum

Debe cumplir con todas las leyes, regulaciones y estándares de la industria aplicables, incluidas, entre otras:

• Leyes de Divulgación Publicitaria: (por ejemplo, Directrices de la FTC de EE. UU., Directiva de Derechos del Consumidor de la UE) que exigen la divulgación clara de las relaciones de afiliación
• Leyes de Protección de Datos: (por ejemplo, GDPR, CCPA) que rigen la recopilación y el uso de datos personales
• Leyes de Marketing Electrónico: (por ejemplo, Ley CAN-SPAM, Directiva ePrivacy) que rigen el correo electrónico y las comunicaciones electrónicas
• Leyes de Protección al Consumidor: Que prohíben la publicidad falsa o engañosa
• Leyes de Control de Exportaciones: Que rigen las transacciones internacionales

4.3 Divulgaciones Requeridas

Debe divulgar de manera clara y prominente su participación en el Programa de Asociados de Coralbound en cualquier Plataforma donde muestre enlaces de referencia. Las declaraciones de divulgación aceptables incluyen:

• "Gano una comisión cuando reserva a través de mis enlaces de afiliado de Coralbound."
• "Como Asociado de Coralbound, gano con las reservas que califican."
• "Esta publicación contiene enlaces de afiliados. Si reserva a través de estos enlaces, puedo ganar una comisión sin costo adicional para usted."

La divulgación debe ser:

• Colocada donde los usuarios puedan verla fácilmente antes de hacer clic en los enlaces de afiliados
• Escrita en un lenguaje claro y sin ambigüedades
• No oculta en letra pequeña, términos de servicio o políticas de privacidad

4.4 Representaciones Precisas

Debe:

• Proporcionar información precisa sobre los servicios, precios y políticas de Coralbound
• No hacer afirmaciones exageradas, falsas o engañosas
• No garantizar la disponibilidad o los precios específicos (ya que pueden cambiar)
• No tergiversar su relación con Coralbound
• No implicar respaldo, patrocinio o asociación más allá del Programa de Asociados

5. Commission Structure

5.1 Commission Rates

Commission rates vary by service type and are subject to change with reasonable notice. Current commission rates are displayed in your Associates dashboard.

Note: Actual commission rates are provided in your Associates dashboard and may vary based on promotional periods, service categories, and your performance tier.

5.2 Qualifying Bookings

A "Qualifying Booking" occurs when:

1. A customer clicks through your unique referral link
2. A valid referral tracking cookie is set (30-day validity)
3. The customer creates a Coralbound account within the cookie validity period
4. The customer completes a booking and submits a booking request
5. The booking is confirmed by the service provider (liveaboard operator, hotel, tour operator, etc.)
6. The customer completes payment for the booking
7. The service is delivered without cancellation or full refund

5.3 Qualifying Revenue

"Qualifying Revenue" is calculated as the amount Coralbound actually receives from the booking, less:

• Cancellations and refunds
• Chargebacks and payment disputes
• Service fees charged by payment processors
• Taxes (including VAT, GST, and other applicable taxes)
• Shipping or handling fees (if applicable)
• Credits, discounts, or promotional adjustments
• Bad debt or fraudulent transactions

5.4 Excluded Bookings

The following bookings are excluded from commission eligibility:

• Bookings made by the Associate for their own use
• Bookings made by the Associate's immediate family members (spouse, parents, children, siblings)
• Bookings made by the Associate's employees or contractors
• Bookings made for resale or commercial redistribution
• Bookings that are canceled or fully refunded before service delivery
• Bookings determined to be fraudulent or in violation of this Agreement
• Bookings where the referral was not properly tracked due to technical issues beyond Coralbound's control
• Bookings made through prohibited marketing methods (see Section 9)

5.5 Attribution Window

The referral cookie is valid for 30 days from the date the customer first clicks your referral link. If the customer creates an account and completes a booking within this 30-day window, you will receive credit for the referral.

If a customer clicks multiple Associates' referral links, the most recent click within the 30-day window will receive attribution (last-click attribution model).

5.6 Commission Modifications

We reserve the right to modify commission rates at any time with 30 days' written notice via email to your registered email address or through a prominent notice in your Associates dashboard. Continued participation in the Program after the effective date of such changes constitutes acceptance of the new commission rates.

6.3 Cookie de Referido

Cuando un usuario hace clic en su enlace de referido, Coralbound establece una cookie de origen llamada coralbound_referral que contiene su código de referido. Esta cookie:

• Duration: 30 days from initial click
• Purpose: Tracks the referring Associate for commission attribution
• Classification: Strictly necessary cookie for affiliate program operation
• Storage: Stored in the user's browser
• SameSite: Lax
• Secure: Yes (HTTPS only in production)
• HttpOnly: No (accessible by JavaScript for authentication integration)

6.4 Tracking Requirements

To ensure proper tracking:

• Referral links must link directly to coralbound.com
• You must not modify or remove the ref parameter from referral links
• You must not interfere with or circumvent our tracking mechanisms

6.5 Cookie Compliance

The coralbound_referral cookie is classified as a strictly necessary cookie for the operation of our affiliate program and does not require user consent under GDPR Article 6(1)(f) (legitimate interests). However, we provide transparent information about this cookie in our Privacy Policy and Cookie Consent settings.

Users may delete the referral cookie through their browser settings, which may prevent proper attribution of referrals.

7. Payment Terms

7.1 Payment Schedule

Commission payments are made approximately 60 days following the end of the calendar month in which the commission was earned. This delay allows for:

Debe proporcionar información de pago completa y precisa para el método seleccionado. No somos responsables de los retrasos o fallos en el pago causados por información de pago incorrecta.

7.3 Umbral mínimo de pago

Las comisiones se retendrán hasta que el saldo de su cuenta alcance el umbral mínimo de pago:

If your balance does not reach the minimum threshold, it will be carried forward to the next payment cycle.

7.4 Currency

Payments are made in United States Dollars (USD) by default. We may offer payment in other currencies at our discretion. If you elect to receive payment in a currency other than USD, the conversion rate will be determined by our payment processor at the time of payment.

7.5 Payment Processing Fees

We will absorb standard payment processing fees. However, if you request special payment methods or international wire transfers that incur additional fees, those fees may be deducted from your payment.

7.6 Tax Withholding

We may be required to withhold taxes from your commission payments in accordance with applicable laws. You are responsible for providing any required tax documentation (such as W-9, W-8BEN, or equivalent forms) upon our request.

Important: You are solely responsible for reporting and paying all applicable taxes on commission income earned through the Program, including income tax, value-added tax (VAT), goods and services tax (GST), or other taxes applicable in your jurisdiction.

7.7 Payment Adjustments

If we determine that any payment was made in error or based on fraudulent, invalid, or disqualified bookings, we reserve the right to:

• Offset the erroneous payment against future commissions
• Request repayment of the erroneous amount
• Withhold future payments until the matter is resolved
• Terminate your participation in the Program

7.8 Inactive Accounts

If your account has been inactive (no earnings or login activity) for 3 consecutive years, we reserve the right to close your account and forfeit any unpaid commissions below the minimum payment threshold, subject to applicable escheatment laws.

8. Content and Marketing Guidelines

8.1 Permitted Marketing Channels

You may promote Coralbound services through:

• Your Website or Blog: Articles, reviews, guides, and resource pages
• Social Media: Organic posts on Facebook, Instagram, Twitter, YouTube, TikTok, Pinterest, LinkedIn, and similar platforms
• Email Marketing: To subscribers who have opted in to receive your communications
• Podcasts or Video Content: Mentions and reviews in audio or video content
• Online Communities: Relevant forums and communities where affiliate linking is permitted

8.2 Content Quality Standards

Your promotional content must:

• Be original and provide genuine value to your audience
• Be relevant to travel, diving, ocean activities, or related topics
• Include honest opinions and experiences
• Clearly disclose the affiliate relationship (see Section 4.3)
• Not mislead consumers about Coralbound's services

8.3 Brand Usage

You may:

• Use the name "Coralbound" in text when referring to our services
• Use marketing materials we provide in your Associates dashboard
• Create original content about Coralbound services

You may not:

• Use the Coralbound logo, trademarks, or brand assets without express written permission
• Use "Coralbound" or variations in your domain name, app name, or username
• Imply official partnership, sponsorship, or endorsement beyond the Associates Program
• Alter, modify, or create derivative works from any Coralbound trademarks or copyrighted materials

8.4 Trademark and Brand Guidelines

If we provide you with access to logos, images, or other brand assets:

• Use them exactly as provided without modification
• Maintain proper spacing and proportions
• Do not place them on backgrounds that interfere with readability
• Do not use them in a way that implies endorsement of non-Coralbound products
• Discontinue use immediately if we request removal

All rights to Coralbound trademarks, logos, and brand assets remain our exclusive property.

9. Prohibited Activities

9.1 Prohibited Marketing Methods

You may not use the following methods to promote Coralbound or generate referrals:

9.1.1 Paid Search Advertising (PPC)

• Bidding on "Coralbound," "Coral Bound," or any variation/misspelling of our brand name as a paid search keyword
• Using our brand name in paid search ad copy in a way that implies official association
• Directing paid search ads directly to Coralbound.com (ads must direct to your Platform first)

Note: You may use paid search advertising for general travel keywords that do not include our brand name.

9.1.2 Trademark and Brand Violations

• Using Coralbound trademarks in domain names, subdomains, or app names
• Purchasing display advertising on trademarked terms without authorization
• Typosquatting or cybersquatting on brand-related domains

9.1.3 Spam and Unsolicited Communications

• Sending unsolicited commercial emails (spam)
• Posting spam in forums, blog comments, or social media
• Using automated bots or scripts to generate referrals
• Any form of email marketing to purchased or non-opted-in lists

9.1.4 Deceptive Practices

• Using link cloaking, redirects, or URL shorteners that hide the referral source or destination
• Creating fake reviews, testimonials, or endorsements
• Misrepresenting your relationship with Coralbound
• Making false claims about Coralbound services, pricing, or availability
• Offering rebates, cashback, or other incentives to users who book through your links
• Cookie stuffing or forced cookie placement without user interaction

9.1.5 Malicious Activities

• Using malware, spyware, or adware to generate referrals
• Browser hijacking, pop-unders, or forced redirects
• Intercepting or modifying other Associates' referral links
• Automated click fraud or impression fraud
• Scraping Coralbound content for unauthorized republication

9.1.6 Competitive Interference

• Bidding on competitors' brand names and redirecting to Coralbound via your affiliate link
• Creating comparison content that misrepresents competitors or Coralbound

9.1.7 Self-Referral and Fraud

• Using your own referral link to book services for yourself
• Encouraging friends or family to book through your link for your mutual benefit
• Creating fake accounts or bookings to generate commissions
• Booking services for resale or unauthorized commercial use

9.2 Restricciones de contenido

No puede no:

• Enmarcar o incrustar páginas web de Coralbound dentro de su Plataforma
• Extraer, copiar o republicar contenido de Coralbound sin permiso
• Utilizar reseñas de clientes, calificaciones o contenido generado por usuarios de Coralbound sin autorización
• Crear herramientas engañosas de comparación de precios utilizando datos de Coralbound
• Mostrar información de precios o disponibilidad desactualizada

9.3 Interferencia con el cliente

No puede no:

• Intentar interceptar, contactar o solicitar a clientes de Coralbound para servicios competidores
• Recopilar información del cliente (nombres, correos electrónicos, detalles de pago) de referencias
• Interferir en el proceso de reserva o pago del cliente
• Redirigir a los clientes fuera de Coralbound después de que hayan hecho clic en su enlace de referencia

10. Propiedad intelectual

10.1 Propiedad intelectual de Coralbound

Todo el contenido de Coralbound, incluyendo, entre otros:

• Diseño del sitio web, texto, gráficos, imágenes, videos y audio
• Listados de liveaboard, información de hoteles, descripciones de tours
• Software, API e infraestructura técnica
• Marcas comerciales, logotipos y activos de marca
• Datos propietarios e información comercial

...remains the exclusive property of Coralbound and is protected by international copyright, trademark, and intellectual property laws.

10.2 Limited License to Associates

Subject to compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Display your unique referral links on your Platform
• Use the name "Coralbound" in text to refer to our services
• Use any marketing materials we provide through your Associates dashboard
• Create original content that references Coralbound services for promotional purposes

This license automatically terminates upon termination of this Agreement or your violation of these terms.

10.3 Restrictions on Use

You may not:

• Sublicense, sell, or transfer any Coralbound intellectual property
• Create derivative works from Coralbound content without permission
• Remove copyright notices, watermarks, or attribution from any materials
• Use Coralbound intellectual property for purposes other than promoting Coralbound services through the Associates Program

10.4 Your Content

You retain ownership of all content you create on your Platform. By participating in the Program, you grant Coralbound a non-exclusive, worldwide, royalty-free license to:

• Muestra tu nombre, el nombre de la plataforma y la información de tu perfil en nuestro directorio de Afiliados (si procede)
• Utiliza capturas de pantalla o ejemplos de tu contenido promocional en nuestros materiales de marketing o recursos de formación para otros Afiliados

Puedes revocar esta licencia terminando tu participación en el Programa, aunque podemos seguir utilizando los materiales creados previamente.

10.5 Infracción de Propiedad Intelectual

Si crees que algún contenido utilizado en relación con el Programa de Afiliados infringe tus derechos de propiedad intelectual, ponte en contacto con nosotros en [email protected] con:

• Identificación de la obra con derechos de autor o propiedad intelectual que se alega que se infringe
• Identificación del material infractor y su ubicación
• Tu información de contacto
• Una declaración de buena fe de que el uso no está autorizado
• Una declaración de que la información de tu notificación es precisa y que estás autorizado a actuar en nombre del titular de los derechos

11. Plazo y Terminación

11.1 Plazo

Este Acuerdo comienza cuando completas el registro para el Programa de Afiliados de Coralbound y continúa hasta que sea terminado por cualquiera de las partes de acuerdo con esta Sección.

11.2 Terminación por el Afiliado

Puedes terminar tu participación en el Programa en cualquier momento mediante:

1. Accediendo a tu panel de Afiliados
2. Navegando a Configuración de la Cuenta
3. Seleccionando "Cerrar Cuenta" o "Abandonar Programa"
4. Confirmando tu solicitud de terminación

Alternativamente, puedes enviar un correo electrónico a [email protected] con tu solicitud de terminación.

Efecto de la Terminación: La terminación por tu parte será efectiva 7 días después de que recibamos tu aviso. Serás elegible para recibir pagos de comisiones por reservas que califiquen realizadas antes de la fecha de terminación efectiva, sujeto al calendario de pagos en la Sección 7.

11.3 Terminación por Coralbound

Podemos terminar tu participación en el Programa:

11.3.1 Terminación Inmediata (Con Causa)

Podemos terminar inmediatamente por:

• Incumplimiento material de este Acuerdo o de las políticas del Programa
• Violación de actividades prohibidas (Sección 9)
• Conducta fraudulenta o engañosa
• Amenazar la reputación de nuestra marca o exponernos a responsabilidad legal
• Usar el Programa para actividades ilegales
• Terminación previa del Programa (intentar reinscribirse sin autorización)
• Proporcionar información falsa o engañosa en tu solicitud o cuenta

11.3.2 Terminación con Aviso (Sin Causa)

Podemos terminar por cualquier motivo o sin motivo con 30 días de aviso por escrito a tu dirección de correo electrónico registrada.

11.3.3 Suspension

We may suspend your account temporarily pending investigation of suspected violations, without notice.

11.4 Effect of Termination

Upon termination:

1. License Termination: Your license to use Coralbound trademarks, referral links, and marketing materials immediately terminates
2. Removal of Links: You must promptly remove all Coralbound referral links and marketing materials from your Platform
3. Outstanding Commissions: You remain eligible to receive payment for qualifying bookings made before the termination date, subject to Section 11.5
4. No Further Referrals: You will not earn commissions on bookings made after the effective termination date, even if attributed to pre-termination referrals
5. Data Deletion: We may delete your Associates account and related data in accordance with our Privacy Policy and data retention obligations

11.5 Withholding of Commissions

If you terminate or we terminate your account for cause due to violation of this Agreement:

• We reserve the right to withhold any unpaid commissions pending investigation of potential fraud or rule violations
• We may offset any damages or losses we incur due to your violations against unpaid commissions
• We may permanently forfeit commissions directly related to the violation (e.g., commissions from fraudulent referrals)

11.6 Survival

The following sections survive termination of this Agreement:

• Section 7 (Payment Terms) - for commissions earned prior to termination
• Section 10 (Intellectual Property)
• Section 11.5 (Withholding of Commissions)
• Section 12 (Warranties and Disclaimers)
• Section 13 (Limitation of Liability)
• Section 14 (Data Protection and Privacy)
• Section 16 (Governing Law)

12. Warranties and Disclaimers

12.1 Your Warranties

You represent and warrant that:

1. You have the legal capacity to enter into this Agreement
2. Your participation in the Program does not violate any other agreement to which you are a party
3. All information you provide is accurate, complete, and current
4. Your Platform and promotional activities comply with all applicable laws
5. You own or have the right to use all content on your Platform
6. Your promotional activities do not infringe any third-party intellectual property rights
7. You will comply with all terms of this Agreement

12.2 No Guarantees

We make no representations or warranties regarding:

• The amount of traffic or commission income you may earn
• The performance or success of your promotional activities
• The continued availability of the Associates Program
• The accuracy or completeness of information provided about services

12.3 Disclaimer of Warranties

THE CORALBOUND ASSOCIATES PROGRAM AND ALL RELATED SERVICES, INFORMATION, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

NA MÁXIMA EXTENSÃO PERMITIDA POR LEI, A CORALBOUND ISENTA-SE DE TODAS AS GARANTIAS, EXPRESSAS OU IMPLÍCITAS, INCLUINDO, MAS NÃO SE LIMITANDO A:

• GARANTIAS IMPLÍCITAS DE COMERCIALIZAÇÃO
• GARANTIAS IMPLÍCITAS DE ADEQUAÇÃO A UM DETERMINADO FIM
• GARANTIAS DE NÃO VIOLAÇÃO
• GARANTIAS DE PRECISÃO, FIABILIDADE OU COMPLETUDE
• GARANTIAS DECORRENTES DO CURSO DE NEGOCIAÇÃO OU USO COMERCIAL

NÃO GARANTIMOS QUE:

• O Programa de Associados será ininterrupto, seguro ou isento de erros
• O rastreamento de indicações será 100% preciso ou livre de problemas técnicos
• Qualquer reserva específica resultará no pagamento de comissão
• O Programa continuará disponível no futuro

ALGUMAS JURISDIÇÕES NÃO PERMITEM A EXCLUSÃO DE GARANTIAS IMPLÍCITAS, PORTANTO, ALGUMAS DAS EXCLUSÕES ACIMA PODEM NÃO SE APLICAR A VOCÊ.

13. Limitação de Responsabilidade

13.1 Sem Danos Consequenciais

NA MÁXIMA EXTENSÃO PERMITIDA POR LEI, A CORALBOUND NÃO SERÁ RESPONSÁVEL POR:

• DANOS INDIRETOS, INCIDENTAIS, ESPECIAIS, CONSEQUENCIAIS OU PUNITIVOS
• PERDA DE LUCROS, RECEITAS OU COMISSÕES ANTECIPADAS
• PERDA DE OPORTUNIDADE DE NEGÓCIOS OU FUNDO DE COMÉRCIO
• PERDA DE DADOS OU INFORMAÇÕES
• CUSTOS DE SERVIÇOS SUBSTITUTOS
• DANOS DECORRENTES DA RESCISÃO DESTE ACORDO

ESTA LIMITAÇÃO APLICA-SE MESMO QUE A CORALBOUND TENHA SIDO AVISADA DA POSSIBILIDADE DE TAIS DANOS.

13.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORALBOUND'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSION PAYMENTS ACTUALLY PAID TO YOU IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

If no commissions have been paid to you, our maximum liability shall not exceed $100 USD.

13.3 Basis of the Bargain

You acknowledge that the disclaimers and limitations in this Section 13 reflect a reasonable allocation of risk and are a fundamental basis of the bargain between you and Coralbound. The Associates Program would not be provided without these limitations.

13.4 Exceptions

Nothing in this Agreement excludes or limits liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded or limited under applicable law

14. Data Protection and Privacy

14.1 Personal Data Processing

By participating in the Program, you acknowledge and agree that Coralbound will collect, use, and process your personal information as described in our Privacy Policy, including:

• Registration information (name, email, address, payment details)
• Platform information (website URL, social media handles)
• Referral activity data (clicks, conversions, commission earnings)
• Communication records with our Associates team

14.2 Referral Cookie Data

We process referral cookie data (coralbound_referral) based on our legitimate interests in operating the Associates Program (GDPR Article 6(1)(f)). This cookie:

• Stores only your 8-character referral code
• Is set only when users click your referral link
• Is used solely for commission attribution
• Is retained for 30 days
• Is classified as a strictly necessary operational cookie

14.3 Your Privacy Obligations

As an Associate, you are responsible for complying with all applicable data protection laws on your Platform, including:

• Implementing a privacy policy that discloses data collection practices
• Disclosing the use of cookies and tracking technologies
• Obtaining any required consents for cookies or data collection
• Providing users with information about how their data is used when they click affiliate links

14.4 No Collection of Customer Data

You may not collect, store, or process any personal information about customers referred through your links, including names, email addresses, payment information, or booking details, except as necessary for your own Platform functionality and in compliance with applicable law.

14.5 Data Security

You must implement appropriate technical and organizational measures to protect any personal data you collect on your Platform, including Associates Program data (such as your referral code and commission reports).

14.6 Data Retention

Coralbound will retain your Associates account data for as long as your account is active and for a reasonable period thereafter to:

• Process final commission payments
• Resolve disputes
• Comply with legal and regulatory obligations
• Prevent fraud

14.7 International Data Transfers

If you are located outside Indonesia, your personal data may be transferred to and processed in Indonesia where Coralbound operates. We implement appropriate safeguards for international transfers in accordance with applicable law.

15. Modifications

15.1 Right to Modify

We reserve the right to modify this Agreement, commission rates, payment terms, or any Program policies at any time. We will provide notice of material changes by:

• Posting the updated Agreement on our website with a new "Last Updated" date
• Sending email notification to your registered email address
• Displaying a prominent notice in your Associates dashboard

15.2 Notice Period

For material changes that negatively affect your rights or commission earnings, we will provide at least 30 days' advance notice before the changes take effect.

For non-material changes (such as clarifications, additional examples, or formatting), changes may be effective immediately upon posting.

15.3 Acceptance of Changes

Your continued participation in the Program after the effective date of any changes constitutes your acceptance of the modified Agreement.

15.4 Right to Terminate

If you do not agree with any modifications, your sole remedy is to terminate your participation in the Program in accordance with Section 11.2 before the effective date of the changes.

16. Governing Law

16.1 Applicable Law

This Agreement shall be governed by and construed in accordance with the laws of Indonesia, without regard to its conflict of law principles.

16.2 Dispute Resolution

16.2.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We commit to working with you in good faith to resolve any disputes.

16.2.2 Arbitration

Any dispute arising out of or relating to this Agreement that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the Indonesian National Board of Arbitration (Badan Arbitrase Nasional Indonesia - BANI).

Arbitration Terms:

• Location: Bali, Indonesia (or mutually agreed location)
• Language: English
• Arbitrator: One arbitrator mutually agreed upon, or appointed by BANI if parties cannot agree
• Costs: Each party bears its own costs; arbitrator fees split equally
• Award: The arbitrator's decision is final and binding

16.2.3 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to:

• Protect intellectual property rights
• Prevent breach of confidentiality obligations
• Address urgent matters requiring immediate relief

16.2.4 Jurisdiction and Venue

For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Bali, Indonesia.

16.3 Waiver of Class Actions

You agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action against Coralbound related to the Associates Program.

Additional Provisions

18.1 Independent Contractor Relationship

You and Coralbound are independent contractors. This Agreement does not create any partnership, joint venture, employment, agency, or franchise relationship. You have no authority to bind Coralbound or make any representations on our behalf.

18.2 No Exclusivity

This Agreement is non-exclusive. You may participate in other affiliate programs and promote other travel services, provided such participation does not violate this Agreement.

18.3 Assignment

You may not assign, transfer, or delegate your rights or obligations under this Agreement without our prior written consent. We may freely assign this Agreement without notice to you.

18.4 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18.5 Waiver

Notre incapacité à appliquer une disposition de cet Accord ne constitue pas une renonciation à cette disposition ou à toute autre disposition. Aucune renonciation par Coralbound ne sera effective à moins d'être faite par écrit.

18.6 Accord intégral

Cet Accord, ainsi que la Politique de confidentialité et toute autre politique référencée ici, constitue l'intégralité de l'accord entre vous et Coralbound concernant le Programme d'Affiliation et remplace tous les accords, ententes et communications antérieurs.

18.7 Force Majeure

Aucune des parties ne sera responsable de tout manquement ou retard dans l'exécution dû à des circonstances indépendantes de sa volonté raisonnable, y compris les cas de force majeure, les catastrophes naturelles, la guerre, le terrorisme, les différends du travail, les actions gouvernementales ou les interruptions des services Internet ou de télécommunications.

18.8 Avis

Tous les avis en vertu de cet Accord doivent être faits par écrit et envoyés à l'adresse e-mail ou à l'adresse physique fournie dans votre compte d'affilié (pour les avis vous concernant) ou dans la Section 17 (pour les avis nous concernant). Les avis sont réputés reçus lors de leur livraison par e-mail ou 5 jours ouvrables après leur envoi postal.

18.9 Langue

Cet Accord est exécuté en anglais. Toute traduction est fournie à titre de commodité uniquement. En cas de conflit entre la version anglaise et une version traduite, la version anglaise prévaudra.

Acceptation

By registering for, accessing, or participating in the Coralbound Associates Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
